Venue Partner Agreement

This Venue Partner Agreement governs the relationship between Cloudrift Technologies (Pty) Ltd ("Vybe") and venue owners ("Venue Partner") who list events and sell tickets through the Vybe platform. By signing electronically in the Vybe app, you agree to be bound by all terms herein.

1. Revenue Share & Commission
- Vybe charges a platform service fee of 4.5% on all ticket revenue
- The Venue Partner receives 95.5% of ticket revenue as net payout
- Payment processing fees (PayStack: 2.9% + R1 ร VAT) are passed to the buyer at checkout
- Example: R200 ticket โ Vybe retains R20, PayStack ~R5, venue receives ~R175
2. Payout Schedule
- Payouts are processed weekly every Monday via EFT
- Minimum payout threshold: R100 (amounts below roll over)
- Payouts are made to the South African bank account registered during onboarding
- Cloudrift reserves the right to withhold payouts pending dispute resolution
3. Event Cancellations
- Venue Partner must notify Vybe at least 48 hours before cancelling any event
- All refund costs from cancellations are the sole responsibility of the Venue Partner
- Refund costs will be deducted from future payouts or invoiced if balance is insufficient
- Repeated cancellations (3+ in 6 months) may result in account suspension
4. Accuracy of Event Listings
The Venue Partner is solely responsible for the accuracy of all event information including dates, times, capacity, pricing, and descriptions. Cloudrift Technologies is not liable for losses arising from inaccurate listings.
5. Safety & Liability
- Venue Partner is solely responsible for the safety of all attendees on their premises
- Venue Partner must have adequate public liability insurance
- Venue Partner is responsible for crowd management, security staff, and first aid availability
- Cloudrift Technologies is not liable for injury, death, or damage occurring at the venue
- Venue Partner indemnifies Cloudrift Technologies against all claims arising from venue operations
- Venue Partner may refuse entry or remove any attendee at their discretion โ right of admission is reserved
6. CCTV & POPIA Compliance
- Venue Partner must operate CCTV in compliance with POPIA No. 4 of 2013
- CCTV footage may be used by Vybe for dispute resolution and chargeback evidence
- Ticket scan logs are retained by Cloudrift Technologies for 12 months
- Venue Partner may not share attendee personal data collected via Vybe with third parties without consent
- Venue Partner must display POPIA-compliant notices at entry points
7. Pricing & Revenue Split Agreement
By listing an event on Vybe, the Venue Partner expressly agrees to the following pricing and revenue model:
- The listed ticket price is the price displayed to buyers across all channels including the Vybe app, website, and any promotional materials
- Vybe retains 4.5% of the listed ticket price as a platform fee for every ticket sold
- The Venue Partner receives 95.5% of the listed ticket price as their net payout for every ticket sold
- Both parties agree to this 90/10 split at the time of event creation โ no further negotiation is required per transaction
- Example: A ticket listed at R990 โ Vybe receives R99, Venue Partner receives R891
- The listed price includes all fees โ buyers are never charged additional service fees at checkout
- Payouts are processed every Monday via EFT to the Venue Partner's registered bank account
- Vybe's platform fee is non-refundable even in the event of cancellations or disputes
8. Legal Compliance
The Venue Partner confirms compliance with all applicable South African laws including:
- Local municipal bylaws governing public gatherings
- Liquor Act licensing requirements
- Health and safety regulations
- Noise ordinances and curfew regulations
- Consumer Protection Act 68 of 2008
- POPIA No. 4 of 2013
